SK Hynix Announces Record-Breaking 40 Trillion Won Share Buyback and Cancellation to Maximize Shareholder Value

SEOUL — SK Hynix has unveiled an unprecedented shareholder return policy, announcing plans to acquire and cancel 40 trillion won ($30 billion) worth of its own shares. This marks the largest share buyback initiative ever undertaken by a listed company in South Korea, signaling a aggressive push to boost investor confidence and correct perceived undervaluation.

Alongside the massive buyback, the memory chip giant revised its shareholder return framework to allocate over 50% of its cumulative free cash flow (FCF) to shareholders through next year. The dual strategy of aggressive treasury stock cancellation and expanded dividends aims to enhance long-term value for investors.

Capitalizing on Record-Breaking AI Memory Performance

SK Hynix stated that the decision stems from a core belief that the company’s intrinsic value—driven by exceptional business competitiveness, strong cash-generating capabilities, and robust mid-to-long-term growth potential—is not fully reflected in its current stock price.

The company is currently reaping the benefits of leading the global artificial intelligence (AI) memory market, riding a wave of record-breaking operating profits. As of the end of the second quarter, SK Hynix’s net cash position stood at approximately 69 trillion won, providing a solid financial foundation for this massive capital allocation.

The intended share acquisition totals 40 trillion won, which translates to roughly 24.07 million shares, or approximately 3.3% of its total issued stock, based on the closing price of 1,662,000 won. The acquisition period is set to run for approximately three months, starting immediately, with the entirety of the acquired shares slated for immediate cancellation upon completion.

Accelerating and Expanding Shareholder Returns

This landmark move accelerates a policy originally announced in November 2024, when SK Hynix pledged to return up to 50% of its cumulative FCF for the 2025–2027 period. At the time, the company promised to review early returns if cash flows grew significantly. Fulfilling that promise ahead of schedule, SK Hynix upgraded its commitment from a ceiling of "within 50%" to "50% or more" of cumulative FCF.

The enhanced policy combines treasury share acquisitions and cancellations with flexible cash dividends. Management is also reviewing options to expand fixed and special dividends. Specific details regarding the exact scale and execution methods of the additional returns will be finalized by the board of directors and officially announced during the third-quarter earnings release.

Regulatory Timelines and Market Impact

Industry insiders noted that the announcement of this monumental policy was slightly delayed due to procedural regulations following the company’s American Depositary Receipt (ADR) listing. Although SK Hynix had spent considerable time reviewing the shareholder return framework, a 25-day prospectus delivery period triggered by its July 10 ADR listing restricted the public disclosure of new material information during the second-quarter earnings announcements.

Once the statutory delivery window closed in early August, the board promptly convened to approve the comprehensive policy.

Market analysts view SK Hynix’s aggressive move as a watershed moment for South Korea's corporate governance, putting pressure on peer giants like Samsung Electronics to ramp up their own shareholder return strategies. As SK Hynix balances its strict financial health targets with historic capital returns, the company aims to solidify its market valuation and reward long-term investors.
